Privacy Policy and Terms of Use

This privacy policy describes how your personal information is collected, used and shared when you visit the website or make a purchase.

This global privacy policy (“Privacy Policy”) describes how Helpicon AB with corporate identity number 559295-4241 and Helpicon Nexus AB with corporate identity number 559482-6751 (collectively “Helpicon”) and its affiliates collect, use and manage your personal information on the Helpicon Platform. It also explains your legal rights regarding that information.

By using the Helpicon Platform, you acknowledge that you have read and understood this Privacy Policy and our Global Terms of Use (also referred to as the “Agreement”). The Agreement governs the use of the Helpicon Platform. Helpicon collects, uses and handles information in accordance with the Agreement.

If you have any questions or wish to exercise your rights and choices, please contact us as indicated in the “Contact us” section below.

In this Privacy Policy:
Helpicon, Inc. may be referred to as “Helpicon”, “we”, “our” or “us”. A user of the Helpicon Platform is referred to as a “User”, “you”, “your” or “Helpee” and “Helper”, as appropriate.

The community platform we offer on our website (www.helpicon.com and local variants, including www.helpicon.se, www.helpicon.dk, etc.) is called “Site(s)”.

The mobile applications (whether iOS or Android) are called the “Apps”. The Helpicon websites, apps and related services, information and communications are collectively referred to as the “Helpicon Platform”.

“Terms of Use” refers to our global Terms of Use available here. This Privacy Policy is part of these and is considered part of the Terms of Use.

Information you provide to Helpicon:
Helpicon collects certain personally identifiable information about you, including information that identifies, relates to, describes, associates with, or can reasonably be linked to you (“Personal Information”). Examples of Personal Information that Helpicon collects include but are not limited to:

Contact information:
This may include your first and last name, postal address, telephone number and email address.
Billing information, including your payment method number (such as credit or debit card number), expiration date and security code when needed to process your payments.

Identity Information:
Whether you are a Helper or Helpee, we may collect personal information such as your date of birth and address, your social security number (if applicable and within the law of your jurisdiction), and other information that may be required to verify your identity.

Criminal record information:
If you register on the Helpicon platform as a Helper and intend to perform tasks related to children, we process your social security number in order for our third-party agent to conduct a criminal record check. Helpicon only processes information whether you have a criminal record or not and does not process the results of criminal record checks or specific information on convictions.

Financial Information:
To help Helpers set up a payment account and help Helpees make payments to Helpers and pay fees to Helpicon, we may collect financial information, including credit card numbers, bankruptcy numbers, tax information, tax identification numbers, and other payment information, when applicable. We use financial information to operate the Helpicon platform and to ensure that Helpers are paid by customers. We do this for our legitimate interests to provide our platform and services and to fulfill our agreements with users. To protect your financial data, we contract with a third party to maintain and process your payment information.

Promotional information:
Some offers from the Helpicon Platform, such as newsletters, surveys, contests and the like, are voluntary and you are not required to participate. As a user of the Helpicon Platform, you agree to take part in Helpicon’s offers, and we may use your information to (where applicable) send newsletters, text messages and other communications tailored to the information we have about you, or to conduct and manage surveys, competitions or similar in connection with our legitimate interest in promoting our business and the Helpicon Platform. To opt out of marketing communications from us, please see Section 7, Your rights and choices.

Employment information:
We collect employment and education history, grades, writing samples and references when needed to process your job application for open positions.

Content information:
You may also choose to send personal information to Helpicon via email or chat messages with questions about the Helpicon Platform, and we use this information to help us respond to your inquiry. We also collect the content of any messages you exchange with other users via the Helpicon Platform (e.g. via our chat function).

We require you to provide certain information when registering an account with us in order to provide services through the Helpicon platform. For example, if you are a Helpee, we collect your first and last name, email address and postal code to create and administer your Helpicon account. We also collect additional information to facilitate your booking request, such as information about what you are looking for, the time, date and location of the assignment, and billing details. If you are a Helper, we collect your first and last name, email address, mobile phone number and postal code to create and administer your Helpicon account and facilitate communication between you and your clients via the Helpicon platform. We also collect information about your assignments, prices and skills, as well as identity and financial information.

Third party information:
If you registered via a co-branded version of our Helpicon platform through one of our partners, they may provide basic information such as your name, address, email and purchase history linked to your data needs. We may obtain additional information about you, such as demographic, financial or fraud detection information, from Third Party Agents (as defined below) and combine it with other information we hold about you, to the extent permitted by law, to comply with our legal obligations and in our legitimate interest to improve the Helpicon Platform. Helpicon may work with third party agents to conduct identity and criminal record checks on Helpers, if applicable and permitted by local law, to further our legitimate interests in ensuring the safety of our users and maintaining the integrity of the Helpicon Platform.

Information Helpicon collects automatically

We automatically collect certain information when you use the Helpicon platform. The categories of information that we automatically collect and have collected in the last 12 months are as follows:

Service usage data, including data about features you use, pages you visit, emails and ads you view, parts of the Helpicon platform you view and interact with, time of day you browse, and your referring and exit pages.

Device Data, including information about the type of device or browser you are using, your device’s operating system, your internet service provider, your device’s regional and language settings, and device identifiers such as IP address and ad ID. When you visit and interact with the Helpicon Platform, Helpicon may automatically collect certain information through cookies or other technologies, including, but not limited to, the type of computer or mobile device you are using, your mobile device’s unique ID, the IP address of your computer or mobile device, your operating system, the type of browser you are using, and information about how you use the Helpicon Platform (“Device Information”). We may use Device Information to monitor the geographic areas from which users navigate the Helpicon Platform and for security and anti-fraud purposes. Use of IP masking technology or similar technologies (such as the TOR network) may render portions of the Helpicon Platform inaccessible and prohibited on the Platform.

Location data, including precise location information (such as location from an IP address or data indicating city or zip code) and, with your consent, precise location information (such as latitude/longitude data). When you visit the Helpicon Platform via a mobile app, we use, with your consent where required by applicable law, GPS technology (or other similar technology) to determine your current location to determine in which city you are located and display a relevant location map. We do not share your current location obtained in this way with other users.

Cookies and similar technologies are described in our Cookie Policy, which explains the different categories of cookies and similar technologies used by the Helpicon Platform and why we use them.

Samtalsinspelningar
Samtal till eller från Helpicon eller våra tredjepartsleverantörer kan övervakas och spelas in för kvalitetskontroll och utbildning. Sådana samtal kan innehålla personuppgifter.

Sharing of information

We only share the information we collect about you as described in this Privacy Policy or at the time of collection or sharing, including the following:

Third Party Agents
We share information, including identity information, with entities that process information on our behalf for our business purposes. Some of these entities may be located in countries outside the EU/EEA. Please note that the level of data protection applied and maintained in some countries outside the EU does not always correspond to the level of data protection applicable within the EU. If personal data is processed outside the EU/EEA, the transfer is subject to appropriate safeguards such as the European Commission’s standard contractual clauses or similar measures. You can request a copy of the personal data transfer agreement by sending an email to dso@helpicom.se.

We contractually prohibit our third-party agents from retaining, using or disclosing information about you for purposes other than performing services for us, although they may use information that does not identify you (including aggregated or de-identified information) for purposes other than those prohibited by applicable law.

In order to operate the Helpicon Platform, including processing your transactions, we may share your personal data with our agents, representatives, suppliers and service providers (“Third Party Agents”) to enable them to provide us with the following support services:

Email management;

Identity checks: our anti-fraud providers also use information about you and your use and/or activity on the Helpicon Platform to provide anti-fraud services to their other customers;

The receipt, invoices or support services;

Customer relationship management;

Data analysis;

Marketing and advertising;

Web hosting;

Communication services;

Technical support;

Execution of financial transactions (currently via Stripe, which processes your personal data according to its own privacy policy) and related debt collection service.

Partners
Some Helpicon content is “sponsored by” or “presented by” other companies. If you connect to the Helpicon Platform via a coordinated version or participate in one of our partner programs, we may share information about your use of the Platform with that partner to provide an integrated platform and evaluate the partner program. We may also share your personal data with our partners to obtain additional information about you or create offers that may be of interest to you. Please check the partner’s privacy policy before disclosing information about yourself. If you do not want these partners to have access to your personal data, you can choose not to participate.

Promotions
When you voluntarily participate in contests, sweepstakes or other promotions, we share information according to contest rules and for administrative and regulatory purposes. By participating in a promotion, you agree to the contest rules, which may allow the sponsor or others to use your name, voice and/or likeness in advertising or promotional materials. We may contact you from time to time with information about special events, activities, promotions and programs, if you so desire. You can ask Helpicon not to contact you with this type of information at any time. See section 7, Your rights and choices, for more information.

Matched Ads
We use Matched Ads by sharing personal data with third parties or by including a third-party pixel on our websites. The third party then matches common data between ours and their data for advertising purposes. For example, we may use the Facebook pixel and share your email address with Facebook in connection with our use of Facebook Custom Audiences.

Other Users
Helpicon facilitates contact between Helpees and Helpers and reserves the right to share a user’s contact information (e.g., name, phone number, email or mailing address) with other users or their legal representatives in order to: (1) facilitate or communicate the resolution of a dispute or investigation related to an interaction between users; or (2) facilitate the performance of a task. This information sharing is necessary for the Helpicon platform to function.

Legal Obligations
Helpicon and our third-party agents may disclose your Personal Data or User-Generated Content to courts, law enforcement agencies, government or public authorities, tax authorities, or authorized third parties if required or permitted by law, or if reasonably necessary to: (i) comply with Helpicon’s legal or regulatory obligations; (ii) respond to court orders, warrants, or subpoenas; (iii) investigate suspected criminal or illegal activity; or (iv) engage in other activities that may result in legal or regulatory liability.

If Helpicon is required by applicable law to collect or transmit information about users’ licenses, taxes or social security information, we may disclose information such as contact details, identity details, transaction dates and amounts, license and permit status, and tax identification numbers to relevant authorities.

Helpicon reserves the right to disclose personal information from both private and public areas of the Helpicon Platform without a court order, to the extent permitted by law, if we believe someone is harming or interfering with the rights of users, the public, or Helpicon and its partners.

We endeavor to notify users before their information is disclosed in response to law enforcement requests, unless (i) we are prohibited from doing so by law or court order, (ii) we suspect that the user’s account has been compromised, or (iii) it is an emergency situation where advance notice is impractical (in which case we may provide notice after the fact).

Mergers or acquisitions
Helpicon reserves the right to share information in connection with or during negotiations of any proposed or actual merger, acquisition, sale or other transfer of all or part of our assets or business.

Public areas
Your profile on the Helpicon platform consists of information about you and your company and may include photographs, professional experience, skills, hourly wages, feedback/reviews and other information, including your username (“Profile”). The information in your Profile may be visible to all users and the public. If you choose to post a task via the Helpicon platform, the content will only be visible to the clients you choose.

Your rights
You have the right to request access to the personal data processed about you at any time in accordance with the GDPR and applicable data protection law. You also have the right to obtain the rectification of inaccurate personal data concerning you, to request in certain cases the erasure of your personal data or the restriction of our processing of your personal data, to exercise your right to data portability and to object to the processing of your personal data, for example processing based on legitimate interest as set out in this privacy policy.

If the processing is based on consent, you will receive specific information about such processing and have the right to withdraw your consent to the processing at any time.

In the case of automated decision-making, including profiling, you have the right to have your decision reviewed by a real person.

If you wish to exercise any of your rights, please contact us using the contact details in section 12, Contact details, below. You also have the right to lodge a complaint with the Data Protection Authority at any time if you consider that your personal data is being processed in breach of the GDPR and applicable data protection law.

Practical information
You can choose not to receive promotional communications from us, including advertising linked to the Helpicon platform, and request the removal of your personal data from our marketing databases, or deactivate your account by sending an email to dso@helpicon.se.

Account settings
When you register, you choose whether you want to receive correspondence from Helpicon. This information is saved in your profile where you can easily change it at any time. After logging in, click on the “Account” tab and then select “Messages” to make your choices.

Push notifications
You can receive updates and relevant offers via push notifications in your app. You can configure these at any time in the settings of your mobile device.

Profile corrections
You have the right to access, update and correct inaccuracies in your Helpicon profile at any time by logging in and clicking on the “Account” tab. There you can view, update and correct your account information.

PR Communications
You can unsubscribe from email marketing by clicking on the unsubscribe link in each message. You can unsubscribe from Helpicon promotional communications sent via SMS at any time by following the instructions in the messages and sending the word “STOP”. Please note that unsubscribing only applies to the phone number used and does not affect other subscriptions. If you only choose to unsubscribe from certain communications, other subscriptions may continue. Even if you choose not to receive promotional communications, Helpicon will continue to send you non-promotional messages, such as information about your account, transactions, services, or Helpicon’s ongoing business relationship with you. Please let us know if you receive unsolicited promotional messages from a Helpicon domain [here].

We retain personal data for as long as you are a user in order to fulfill our contractual obligations to you as well as for a longer period that may be in our legitimate interests and to comply with our legal obligations (see Appendix A for copies of retention periods). We may also retain data from which you cannot be directly identified, for example where data is stored under a randomly generated identifier so that we know the data belongs to an individual user, but we cannot determine who that user is. We use this type of data for research purposes and to help us develop and improve our services, and we take appropriate steps to ensure that you cannot be re-identified from this information.

Your Helpicon account is password-protected so that only you and authorized Helpicon personnel have access to your account information. To maintain this protection, do not share your password with anyone. If you share a computer with others, you should also log out of your Helpicon account and close your browser window before anyone else logs in. This will help protect your information from being revealed to third parties when using public terminals.

Helpicon implements and maintains reasonable administrative, physical and technical safeguards to protect information about you from loss, theft, misuse and unauthorized access, disclosure, alteration and destruction. Helpicon has staff dedicated to enforcing this Privacy Policy and other privacy initiatives, regularly reviews security, and ensures that all Helpicon Helpers are aware of our security practices. However, transmission over the Internet is not completely secure and we cannot guarantee the security of any information about you.

Helpicon’s privacy policy is regularly reviewed and improved as necessary. This Privacy Policy may change as Helpicon is updated and the platform is expanded. Helpicon will endeavor to notify you of important changes via email. Helpicon also encourages you to review this Privacy Policy regularly.

We do not knowingly collect or “sell” personal information about minors. If you are a parent or guardian and believe that we have collected information from your child in a way that is not permitted by law, please contact us here. We will delete the information.

If you have any questions about this Privacy Policy, how we or our third party agents handle your Personal Data, our practices on the Site, your dealings with the Helpicon platform, or if you have any technical issues, please contact us by email at dso@helpicon.se.
Helpicon staff will respond to all emails from users with privacy questions, including what types of Personal Data are stored in Helpicon’s databases, and handle requests to access, disable or correct such Personal Data.

Helpicon Global Terms of Use

These Terms of Use constitute a legally binding agreement between you and Helpicon AB, corporate identity number 559295-4241, and Helpicon Nexus AB, corporate identity number 559482-6751 (collectively, “Helpicon”), governing your use of the Helpicon Platform. The Helpicon websites (including Helpicon.com, Helpicon.io, Helpicon.app, Helpicon.cn, Helpicon.ru, Helpicon.rs, Helpicon.jp, Helpicon.ae, Helpicon.at, Helpicon.be, Helpicon.ch, Helpicon.de, Helpicon.digital, Helpicon.dk, Helpicon.es, Helpicon.fi, Helpicon.fr, Helpicon.help, Helpicon.in, Helpicon.info, Helpicon.it, Helpicon.me, Helpicon.net, Helpicon.nl, Helpicon.nu, Helpicon.one, Helpicon.online, Helpicon.org, Helpicon.pl, Helpicon.pt, Helpicon.se, Helpicon.site, Helpicon.store, Helpicon.support, Helpicon.uk, Helpicon.us, Helpicon.ca, Helpiconapp.com, Helpiconapp.digital, Helpiconapp.eu, Helpiconapp.net, Helpiconapp.one, Helpiconapp.se, Helpiconapp.store) (the “Sites”), mobile applications (the “Apps”) and related services, information and communications are collectively referred to as the “Helpicon Platform”.

The use of any personal information that you provide to the Helpicon Platform or that we collect about you is governed by our Global Privacy Policy (the “Privacy Policy”). A copy of our Privacy Policy is available here. You acknowledge that by using the Helpicon Platform you have read the Privacy Policy.

A user of the Helpicon platform is called a “Helpee” or “Helper”, depending on the situation.

Please note that Helpicon only provides a platform where Helpers and Helpees can connect. Helpicon is not responsible for the work performed by a Helper in connection with the assignment, or which Helper the Helpee chooses to perform the assignment.

HELPICON DOES NOT SUPERVISE, CONTROL OR GUARANTEE THE WORK OF A HELPER OR THE HELPER CHOSEN TO PERFORM THE WORK. THE HELPER HAS FULL RESPONSIBILITY AND LIABILITY FOR THE WORK PERFORMED. HELPICON HAS NO RESPONSIBILITY FOR THE SELECTION OF THE HELPER.

By registering and continuing to use the Helpicon Platform, you agree to all the terms and conditions of these Global Terms of Use, including any future changes and additions that we may post. If any future changes are unacceptable to you or cause you to no longer be in compliance, you must deactivate your account and immediately stop using the Helpicon Platform.

The Privacy Policy and the Happiness Pledge of the country where the assignment is carried out are incorporated into these Terms of Use and together constitute the “Agreement”.

IF YOU DO NOT AGREE TO BE BOUND BY THIS AGREEMENT AND COMPLY WITH ITS TERMS, YOU MAY NOT USE OR ACCESS THE HELPICON PLATFORM. IN THE EVENT OF A BREACH OF THIS AGREEMENT, HELPICON MAY CLOSE YOUR ACCOUNT AND PROHIBIT YOU FROM USING THE PLATFORM, EFFECTIVE IMMEDIATELY.

BY ACCEPTING THESE TERMS AND/OR USING THE HELPICON PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD AND AGREE TO BE BOUND BY THE AGREEMENT WITHOUT LIMITATION OR EXCEPTION.

The terms of this Agreement apply to all assignments performed by a Helper, regardless of whether the assignment takes place on site at Helpee or remotely.

Your use of the Helpicon Platform in a country other than the one where you registered means that you accept and comply with the terms and conditions of that country.

Some important points in these Terms of Use are:

  • You must be of legal age and have the legal capacity to enter into contracts to use the Helpicon platform (section 2).

  • The technology of the Helpicon platform is provided “as is” without warranty (section 17).

  • Helpicon makes no warranties and bears no responsibility for the actions of users or the performance of the assignment (section 17).

  • Helpicon does not supervise or control the work of Helpers or the Helpers Helpee chooses (section 1).

  • Helpees are responsible for assessing the competence of Helpers themselves (sections 1 and 23).

  • Helpers are independent contractors and not employees or suppliers of Helpicon (section 1).

  • You agree to indemnify and hold Helpicon harmless from any claims related to your use of the Platform or any Content you submit (Section 18).

The Helpicon platform is a web- and app-based two-sided marketplace that enables contact between Helpees and Helpers. “Helpees” are individuals and/or companies seeking short-term services (“Assignments”) from Helpers and are therefore their clients. “Helpers” are companies and/or individuals who wish to perform Assignments for Helpees. Helpees and Helpers are hereinafter jointly referred to as “Users.” If you agree with another User on the terms and conditions of an Assignment, you and the other User enter into a Service Agreement directly between you, as further described in section 3 below.

Assignments published by a Helpee are automatically removed from the Helpicon platform once the specified end date of the assignment has passed.

HELPERS ARE INDEPENDENT CONTRACTORS. HELPERS ARE INDEPENDENT CONTRACTORS OF HELPEES AND ARE NOT EMPLOYEES, PARTNERS, AGENTS, JOINT VENTURES, CONTRACTORS OR FRANCHISEES OF HELPICON. HELPICON DOES NOT PERFORM ANY ASSIGNMENTS AND DOES NOT HAVE ANY EMPLOYEES TO PERFORM ASSIGNMENTS. By connecting individuals and companies seeking services with service providers, Helpicon acts as a digital marketplace that connects Helpees with service providers (Helpers) who wish to perform various types of assignments.

USER HEREBY AFFIRMS THAT HELPICON DOES NOT SUPERVISE, PLAN, DIRECT, CONTROL OR MONITOR HELPERS’ WORK and hereby expressly disclaims (to the extent permitted by law) all liability for the work performed and the assignments completed, including but not limited to warranties or conditions of workmanship, quality, fitness for a particular purpose, or compliance with any law, regulation, or other legal requirement.

To create an account on the Helpicon platform, you must register as a User and identify yourself using BankID or other equivalent identification service.

Any reference on the Helpicon Platform to a Helper being licensed, certified, “badged”, “trusted”, having a certain “level of reliability”, being “elite”, being “good value”, being “background checked”, “vetted” (or similar terms) indicates only that the Helper has completed a relevant registration process or met certain criteria – it is not a guarantee, certification or recommendation by Helpicon of the Helper’s competence, qualifications, credentials, insurance, reliability or suitability. The description is intended solely as supporting information for Helpees to consider in making their own decision about which Helper to engage.

The Helpicon platform enables contact between Users in order for assignments to be carried out. Helpicon is not responsible for the performance or communications of Users, and has no control over the quality, timing, legality, possible lack of delivery, or anything else regarding assignments, Helpers or Helpees – nor their integrity, responsibility, competence, qualifications or other acts or omissions. Helpicon makes no warranties or representations as to the suitability, reliability, timeliness or accuracy of any assignments requested or services provided by Users or communications between Users, whether public or private, online or offline, or otherwise.

Background Checks on Helpers
Helpers may be subject to a review before they can register and during the time they use the Helpicon Platform. This may include, but is not limited to, identity verification and criminal record checks carried out by third party service providers as necessary (“Background Checks”). Although Helpicon may conduct Background Checks, Helpicon cannot confirm that a User is who they claim to be, and Helpicon does not assume any responsibility for the accuracy or reliability of information from Background Checks.

In cases where a Helper is to perform tasks involving children, the Helper will undergo a criminal record check (“Criminal Record Check”). This check is carried out by a third party service on a regular basis during the time the Helper has an account on the Helpicon platform. If the check reveals that the Helper has a criminal record, Helpicon may refuse to allow the Helper to register on the Platform or close the Helper’s account.

When conducting such criminal record checks, Helpicon processes your personal data. More information on how we process personal data can be found in Helpicon’s privacy policy.

When interacting with other users, you should use caution and common sense to protect your personal safety, data and property, just as you would when interacting with other people you do not know. Helpicon is not responsible for false or misleading statements made by users of the Helpicon Platform.

NEITHER HELPICON NOR ITS PARENT, AFFILIATES, SUBSIDIARIES, OR LICENSORS, INCLUDING THOSE DIRECTORS, OFFICERS, SHAREHOLDERS, AGENTS, INVESTORS, ATTORNEYS, REPRESENTATIVES, INSURERS, EMPLOYEES, SUCCESSORS, AND ASSIGNS (COLLECTIVELY, “PARTNERS”) ARE LIABLE FOR THE ACTS, DEEDS, OR OMISSIONS OF ANY USER, ONLINE OR OFFLINE, AND TO THE FULLEST EXTENT PERMITTED BY LAW, YOU HEREBY RELEASE HELPICON AND ITS PARTNERS FROM ANY AND ALL LIABILITY, CLAIMS, DEMANDS, OR DAMAGES OF ANY KIND ARISING OUT OF OR ALLEGED TO HAVE ARISEN OUT OF THE HELPICON PLATFORM.

User’s representations and warranties
All users represent and warrant that:

You must be at least 18 years old, or otherwise have the legal capacity to enter into binding agreements, for example through parental consent.
You have the right, authority and capacity to enter into this Agreement and to comply with its terms, and you will do so.
You have read, understood and agree to be bound by these Terms of Use, the Privacy Policy and the Happiness Pledge applicable to the country in which the task is performed.
Tasks may only be performed in countries where the Helpicon Platform is active.
You will respect the privacy (including privacy, family life and home), property and data protection of Users, and you will not record (either video or audio) any task or interaction with another User or Helpicon without written consent.
You will fulfill commitments to other Users, communicate clearly and promptly via chat, be available at the agreed time, and use the Helpicon approved payment solution for services via the Platform (“PSP”).
You will act professionally and responsibly in interactions with other users.
You will not upload or share inappropriate material with other users, including pornographic material, images or videos.
You will not use inappropriate or threatening language towards other users, including profanity.
You will use your real name or company name on your profile.
When using the Helpicon Platform, you will comply with all applicable laws and customs, national or international, and act in good faith.
You will not use the Platform for the purchase or delivery of alcohol, or other controlled or illegal substances or services.
If you are entering into this Agreement on behalf of a company or other organization, you warrant that you have the authority to bind that organization to this Agreement.
Unless otherwise disclosed in writing to Helpicon, you have no other purpose, interest or motive (e.g. journalistic, academic or illegal) that Helpicon should reasonably know about.

Additional guarantees from Helpers

You must be at least 13 years old to register as a Helper. If you are under 18 years of age, written parental consent is required to register and enter into a Service Agreement.
When using the Helpicon Platform, you are acting as a sole proprietor, partnership, limited liability company, other form of business entity or independent contractor.
You are either ordinarily engaged in an independently established business of the same nature as the services you offer, or are otherwise qualified to perform those services.
You have full authority to work in the jurisdiction where the task is performed.
If the location where the task is performed requires a business license or VAT registration, you have it.
You are responsible for identifying and obtaining any necessary licenses, permits or registrations before you offer services or begin tasks.
You have all insurance required to operate your business and deliver your services.
You will use your real name or company name and a current photo on your profile.
You will keep your commitments to other users, respond to invitations promptly, perform tasks as agreed, and deliver high-quality services on time.
You will only offer and perform services for which you are qualified and will perform them safely and in accordance with applicable laws.

You acknowledge and agree that a legally binding agreement with another user (the “Service Agreement”) is entered into when you and the other user agree on the terms of an Assignment. The terms of the Service Agreement include the terms set forth in this Section 3, the assignment terms proposed and accepted on the Helpicon Platform, and any other contractual terms accepted by both the Helper and the Helped, to the extent that such terms do not conflict with the terms of this Agreement, including this Section 3, and do not expand Helpicon’s obligations or limit Helpicon’s rights under this Agreement. Helpicon is not a party to any Service Agreement and the conclusion of a Service Agreement does not under any circumstances create an employment or service relationship between Helpicon and the Helper, nor an employment relationship between the Helper and the Helper. Users are not authorized to enter into any written or oral agreements, whether implied or express, on behalf of Helpicon.

The Recipient has the right to change the description and terms of the post on the Helpicon platform for the requested assignment before the Helper has accepted to perform the assignment. The Recipient may not unilaterally change the description and terms of the post after the Helper has accepted to perform the task.

Once the Beneficiary and the Helper have agreed on the terms of an Assignment and the Beneficiary has paid the Helpicon, the Helper may start carrying out the Assignment directly or as agreed with the Beneficiary. After the Helper has completed the assignment, both the Client and the Helper must accept that the assignment has been completed. After such approval, the payment for the Assignment will be transferred from Helpicon to the Helper after deduction of Helpicon’s service fee in accordance with the Terms of Use.

If agreed in advance by the Beneficiary, the Helper is not obliged to personally carry out the assignment. Helpers may engage assistants, helpers, subcontractors or other personnel (collectively “Helpers”). For security reasons, such Helpers must be registered via the Helpicon Platform. Failure by a Helper to comply with this condition constitutes a breach of the Terms of Use and may result in suspension from the Helpicon Platform. The Helper assumes full and sole responsibility for the acts and omissions of such Helper Assistants and is fully responsible for lawfully paying all compensation, benefits and expenses to Helper Assistants, as well as making all applicable tax deductions. The Beneficiary is responsible for ensuring that all Helper Assistants are registered Helpers on the Helpicon platform.

When using the Helpicon platform, the Client decides whether he/she wants to be present at the execution of an assignment. The Client agrees that if someone other than the Client books the assignment or is present at the execution, this person acts as the Client’s representative (“Client’s representative”) and the Client may take instructions from this representative as if they came from the Client. If you are the Helper’s agent and are using the Helpicon Platform on behalf of the Helper, you represent that you have the authority to act as the agent and bind the person to all terms of the Terms of Use. The Agent may authorize any deviation from instructions given by the Recipient regarding the scope or performance of the engagement. The Recipient agrees that such instructions or deviations are binding, and is responsible for them as if they came from the Recipient himself. The Recipient bears full responsibility for the acts and omissions of the Agent. Agents are considered third parties in relation to the Happiness Pledge and are therefore not covered by it.

The parties agree that all shipping or transportation costs associated with assignments mediated through the Helpicon platform are the sole responsibility of the Assisted or the Helper, as agreed between them. The Recipient or the Helper, depending on the agreement, undertakes to pay all shipping and transportation costs associated with the assignment. These costs may include, but are not limited to, freight charges, delivery charges and other costs of transportation of goods or materials. It is expressly understood that Helpicon is not responsible for, nor will it cover, any such costs. Helpicon expressly disclaims any liability for payment or reimbursement of these costs.

The Recipient and the Helper shall not exchange contact information. All contact between the Beneficiary and the Helper shall take place via the messaging service on the Helpicon platform or in the App. Helpicon is not responsible for any information exchanged between the Beneficiary and the Helper.

The Recipient shall pay his/her Helper(s) in full for all Assignment Services via the PSP as set out on the Helpicon Platform, and in accordance with the prices agreed between the parties in the Service Agreement. Each User undertakes to comply with the Service Agreement and this Agreement throughout the duration of the Assignment, from initiation to completion.

All payments for assignments and service fees must be made by the Beneficiary to the Helper via the PSP. The Beneficiary and the Helper may not use any other payment method than the one provided via the Helpicon platform.

If the Recipient and the Helper establish contact via the Helpicon platform but then enter into an agreement outside the platform in order to circumvent Helpicon’s compensation, Helpicon is entitled to permanently close the accounts of both the Recipient and the Helper, prohibit further use of the platform and take legal action against both parties.

Users of the Helpicon platform enter into contracts for assignments directly with other users. Helpicon is not a party to any contract for assignments or services. It is the responsibility of the Assignee, not Helpicon, to pay for any Assignment Services via the Helpicon Platform. Such payment must be made via the PSP. Helpicon is not obliged to compensate the Helper if the Helper does not pay for the Services. The Assisted User is responsible for paying the cost of each Assignment, which includes (a) the price terms agreed between the parties (“Assignment Fee”). The Assignment Fee as well as the Service Fee must be paid through the PSP. Assisted Users on the Helpicon Platform must provide their payment details to Helpicon and PSP. The Assisted User is responsible for paying for the Assignment through the PSP. The Assignment Fee will be held by the PSP and transferred to the Helper only when the Assignment is completed and approved by the Assisted User. If the Beneficiary does not approve the assignment due to negligence, the reimbursement is automatically approved five days after the assignment is marked as completed. If the Beneficiary does not accept the payment due to a dispute, the Beneficiary and the Helper must resolve this before the payment is transferred. A service fee of 12.5% of the total amount of the assignment will be automatically deducted to Helpicon as soon as the Beneficiary pays via the PSP. The service fee accrues to Helpicon regardless of any dispute or delay in authorizing payment.

Helpers must create an account with the PSP, which may require any or all of the following: registration with the PSP, acceptance of the PSP’s terms of use, and going through the verification and authentication process as requested by the PSP.

When the Beneficiary receives a confirmation via the Helpicon platform or via email that an assignment has been completed, the Beneficiary can either (1) actively approve the assignment by clicking the approve button in the platform or app, or (2) submit a complaint. If the Beneficiary does not actively approve the assignment, the assignment is automatically considered approved after five days, provided that no complaint has been received. If a complaint has been received, the PSP will not process the payment until the Beneficiary and the Helper reach an agreement. If the parties do not reach an agreement, the amount will be refunded to the Beneficiary and the parties will resolve the dispute themselves. Helpicon accepts no responsibility for the parties’ ability to reach agreement on payment for services rendered.

Helpicon reserves the right (but not the obligation), at the request of the Recipient or the Helper, or upon suspicion of fraud, unauthorized charges or other misuse of the Platform, to withhold commission payments, expenses and/or tips (if applicable), or to refund or award credits, or instruct PSP to do so.

Users of the Helpicon Platform may be required to pay taxes or similar fees (including VAT, if applicable in the country where the Assignment is performed) to be collected and/or paid for Assignments or fees under this Agreement. All taxable services included in the Engagement are paid for by the Helper.

In some jurisdictions, applicable regulations may require us to collect or report tax and/or revenue information about you. You authorize Helpicon to issue receipts or similar documentation on your behalf to facilitate proper tax accounting.

The PSP will deduct (1) 3% of the contract amount as own remuneration and (2) 12.5% as remuneration to Helpicon, before paying the contract remuneration and social security contributions.

When using the ROT or RUT deduction, the following applies: The Assisted Party pays 50% (RUT) or 30% (ROT) of the total amount of the assignment to Helpicon, while the remaining part is paid by the Swedish Tax Agency after approved deduction. If the Swedish Tax Agency does not approve the deduction, the Assisted Party is obliged to pay the full amount of the assignment to Helpicon upon demand. If the Beneficiary does not transfer the remaining amount upon demand, full compensation will not be transferred to the Helper. Helpicon is not responsible for the Helper receiving full payment. If the Helper has not received full payment for the assignment performed, it cannot claim the remaining amount from Helpicon. In the event of non-payment, Helpicon shall be entitled to close the Assisted Party’s account. The Assisted Party is obliged to cooperate with Helpicon, including by responding to requests from the Swedish Tax Agency to enable RUT/ROT deductions.

Helpicon may from time to time offer certain promotions and contests to users. All such promotions are conducted entirely at Helpicon’s sole discretion and may be introduced, changed or removed at any time without notice. The liability of Helpicon and its partners in connection with these promotions and contests is limited as set forth in Section 17 of these Terms of Use.

Helpicon gift cards (“Gift Cards”) and promotional codes (“Promotional Codes”) may be available and may be used to pay assignment fees as well as the Helpicon service fee and the “Trust & Support” fee, in whole or in part. However, they may not be used to reimburse expenses or pay tips related to an Assignment performed via the Helpicon Platform.


A. Promotional Codes
Promotional Codes are an offer by Helpicon to reduce the amount payable by a Helped User for the commission, service fee and/or Trust & Support fee. Promotional codes do not affect the amount paid to the Helper. The use or application of a promotional code is solely a promotional action and does not imply any relationship or compensation between Helpicon and the Helper or the Helped User, and does not constitute a salary, fee or similar.
You agree to use promotional codes in accordance with the terms and conditions applicable to them. A promotional code for new users may only be used once per user, regardless of the email address used for registration. Helpicon reserves the right to withhold or revoke any credit, feature or benefit obtained through a promotional code if the use or redemption of the code is improper, fraudulent, illegal or in violation of the applicable terms or this Agreement.


B. Gift cards
Gift cards can only be used in connection with assignments carried out via the Helpicon platform, cannot be replaced in the event of loss or theft and have no expiry date. Gift cards have no cash value and cannot be redeemed for cash, except where required by law. Gift Cards must be registered directly in the Beneficiary’s account and cannot be received directly by the Beneficiary as a means of payment.

A gift card cannot be combined with other gift cards, gift certificates or promotional codes. The gift card is not linked to any credit card, line of credit, overdraft protection or deposit account. You cannot reload (or top up) the gift card at this time. If a purchase exceeds the value of the gift card, the user must pay the difference with another means of payment. Unused balances on the gift card cannot be transferred to another person. Helpicon reserves the right to correct the balance of the gift card if there is a suspicion of a billing error. Helpicon also reserves the right to limit the number of gift cards purchased by a person or company and to cancel gift cards obtained in a fraudulent or unauthorized manner. Gift cards and their use are governed by this Agreement, and use of a gift card constitutes your acceptance of these Terms.

You agree to abide by all terms and conditions applicable to gift cards.

The Helpicon Platform may include profiles, email systems, blogs, message boards, reviews, ratings, mission posts, chat areas, newsgroups, forums, communities and/or other messaging or communication features (“Public Areas”) that allow users to communicate with each other. You may only use such Community Areas to send and receive messages and materials that are relevant and appropriate to the particular forum. For your own safety and for the integrity of the Platform, you should not share your personal contact details with other users.

Without limitation, the Helpicon Platform may not be used for the following purposes:

  • Defame, abuse, harass, stalk, threaten, intimidate, mislead or otherwise violate the rights (such as, but not limited to, privacy, confidentiality, reputation and publicity) of others, including other users and Helpicon staff;

  • Posting, uploading, distributing or disseminating any profane, defamatory, infringing, obscene or illegal language, material or information;

  • Uploading files containing software or other material that infringes the intellectual property rights (or rights of privacy or publicity) of any user, third party or Helpicon;

  • Uploading files or scripts such as trojans, corrupted files, SQL injections, worms, time bombs, interceptor bots, or other files or programs that may harm Helpicon or its users’ computers;

  • Advertising or offering for sale goods or services for commercial purposes that are not relevant to the Mission Services on the Helpicon Platform;

  • Posting or completing an assignment that requires a user to (i) purchase or obtain gift cards or money orders, (ii) purchase expensive items without prior approval from Helpicon, (iii) travel to other countries in the course of completing the assignment, (iv) offer carpooling or other transportation between individuals, (v) post ratings or reviews on a third party website in violation of its terms of use, or (vi) otherwise engage in activities that are illegal or deemed dangerous, harmful or inappropriate in Helpicon’s sole discretion;

  • Conducting or forwarding surveys, competitions, pyramid schemes or chain letters;

  • Impersonating another person or user or allowing someone else to use your user profile to post or read comments (except as allowed under Section 3 of the Helped User Agent).

When using the Helpicon platform, you may not:

  • Use the Platform for unauthorized or illegal purposes, including but not limited to posting or transacting in violation of local, national or international laws;

  • Publish or upload content that you do not have the necessary rights or permission to use;

  • Posting the same assignment repeatedly (“spam”);

  • Download files posted by other users that you know, or should know, cannot be legally distributed through the platform;

  • Restrict or prevent other users from using and enjoying the public areas;

  • Claim or imply that your statements (on or off the Platform) are endorsed by Helpicon without written consent;

  • Use robots, spiders, manual processes, meta tags, “hidden text”, scripts or other automated tools to collect, scrape, sell, distribute, download or index content or personal information from the Helpicon Platform;

  • Using framing or similar techniques to display Helpicon or parts of the platform within another website;

  • Hack or disrupt Helpicon servers or networks;

  • Modify, translate, license or otherwise use the Platform for personal or commercial use;

  • Remove or tamper with copyright, trademark or other proprietary symbols of Helpicon or its partners;

  • Uploading offensive or harmful content, including that which promotes racism, hatred or violence against individuals or groups;

  • Uploading content that exploits people in an abusive, violent or sexual way;

  • Recruit to other companies, services or websites or contact users for purposes unrelated to the Helpicon platform;

  • Collect usernames, e-mail addresses or other personal information by electronic or other means;

  • Use the Platform in violation of this Agreement;

  • Using the Platform in a misleading way (by outright lying or not updating information) or to gain access to Helpicon’s trade secrets;

  • Trying to circumvent the payment system or service fees by, for example, paying outside the platform or manipulating invoices;

  • Registering multiple user accounts after being suspended, or registering with a fake email or number;

  • Allowing someone else to break the above rules on your behalf;

  • Using tools that hide your IP address (like the TOR network).

You understand that anything you post in the Public Areas is public and that you will be identified by name or username when you communicate there. Helpicon is not responsible for the actions of other users or materials posted in public areas.

The User agrees not to use inappropriate language, text or request illegal services via the Helpicon platform. Any violation of this rule may result in the User’s account or mission card being flagged by other users or brought to the attention of Helpicon. In case of inappropriate language, attempted illegal assignments or other illegal activities, Helpicon reserves the right to terminate the user’s account or permanently remove the assignment card. Helpicon will determine the severity of the violation and the appropriate action.

The User is aware that misuse of the Platform may have legal consequences. Helpicon reserves the right to take legal action against the User for breach of the terms of this Agreement. Helpicon shall not be liable for any damages or losses arising from the User’s inappropriate language or illegal activities. The user agrees to indemnify Helpicon for any legal claims or losses arising from the user’s misuse.

By installing the App(s), you agree to the installation of the App(s) and any updates or upgrades provided through the Helpicon Platform. The App (including updates and upgrades) may (i) cause your device to automatically communicate with Helpicon’s servers to provide the functionality of the App and record usage statistics, (ii) affect App-related settings or data stored on your device, and (iii) collect personal data as set out in our Privacy Policy. You can uninstall the App(s) at any time.

Helpicon may suspend your right to use the Helpicon Platform while any violation of this Agreement by you is being investigated. Helpicon may also deactivate your account or restrict your use of the Helpicon Platform if it determines that you have violated any provision of this Agreement (a “User Violation”). Helpicon will provide you with written notice of its decision in accordance with the law, unless there is reason to believe that the user’s account has been compromised in a way that could result in the notice being sent to the wrong person, or that the notice would be counterproductive or pose a security risk.

If you wish to appeal the decision, please contact dso@helpicon.com within 14 days of receipt of the notification and state the grounds for your appeal.

If Helpicon suspends or deactivates your account, or restricts your use of the Helpicon Platform under this Section 8, you are thereafter prohibited from registering and creating a new account in your name, company name, a false or borrowed name, or in the name of any third party, even if you are acting on behalf of the third party.

Even after your right to use the Helpicon Platform has been suspended, terminated or restricted, this Agreement remains enforceable against you. Helpicon reserves the right to take appropriate legal action under the Agreement.

Helpicon reserves the right, in its sole discretion, to modify or discontinue, temporarily or permanently, all or any part of the Helpicon Platform. Helpicon will not be liable to you for any modification or discontinuance of all or part of the Helpicon Platform. Helpicon has the right to deny anyone the right to register as a Helpee or Helper if that person may pose a threat to the security or integrity of the Helpicon Platform, or if such restriction is necessary for other business reasons.

You may terminate this Agreement at any time by ceasing all use of the Helpicon Platform and deactivating your account.

You must register with Helpicon and create an account to use the Helpicon Platform. You are responsible for keeping confidential all login information, passwords and account numbers created by you or provided by Helpicon. You are solely and fully responsible for all activity that occurs under your password or account, even if not authorized by you. Helpicon has no control over the use of any user’s account and expressly disclaims any liability that may arise therefrom. If you suspect that any unauthorized person is using your password or account, or if you suspect any other breach of security, you agree to notify Helpicon immediately.

You understand that telephone calls to or from Helpicon, its agents and affiliates, may be recorded and monitored for quality assurance and training purposes.

You confirm that all contact information you provide to Helpicon, its agents, affiliates and other users – including but not limited to your name, company name, postal address, email address, home or work telephone number and/or cell phone number – is truthful and accurate. You confirm that you are the current subscriber or owner of all telephone numbers that you provide. Providing a phone number that does not belong to you is strictly prohibited. If we discover that any information provided in connection with your registration is false or inaccurate, we may suspend or deactivate your account. If any of your contact information changes, you agree to notify Helpicon immediately before the change takes effect by visiting Helpicon.se and sending an email to dso@helpicon.se.

User-Generated Content” is defined as any information and materials that you provide to Helpicon, its agents, affiliates and business partners, or other users in connection with your registration for and use of the Helpicon Platform and participation in Helpicon’s promotional campaigns, including but not limited to information and materials posted or transmitted for use in public areas. You are solely responsible for User-Generated Content, and we act only as a passive conduit for your online distribution and publication of your User-Generated Content. You acknowledge and agree that Helpicon is not involved in the creation, development of User-Generated Content, disclaims all liability for User-Generated Content, and shall not be liable for any claims arising out of or in connection with User-Generated Content. Further, you acknowledge and agree that Helpicon has no obligation to monitor or review User-Generated Content, but reserves the right to restrict or remove User-Generated Content if it does not comply with the terms of this Agreement.

For further clarification, Helpicon is not responsible for the information contained in or content of user-generated reviews. Notwithstanding Helpicon’s internal procedures allowing Helpicon to remove to moderate reviews, the author of a review shall take full responsibility for the review, including but not limited to ensuring that the reviews are accurate, relevant, and do not contain defamatory or offensive language.

You hereby represent and warrant to Helpicon that your User-Generated Content (a) will not be false, inaccurate, incomplete or misleading; (b) will not be fraudulent or involve the transfer or sale of illegal, counterfeit or stolen goods (c) will not violate any third party’s privacy, or copyright, patent, trademark, trade secret or other proprietary right or right of publicity or personality (to the extent recognized by law in the country where the task is performed); (d) will not violate any law, statute, ordinance, code or regulation (including but not limited to those governing export control, consumer protection, unfair competition, anti-discrimination, incitement to hatred or false or misleading advertising, anti-spam or privacy) (e) must not be defamatory, abusive, malicious, threatening or harassing; (f) must not be obscene or contain pornography (including but not limited to child pornography) or be harmful to minors; (g) must not contain any viruses, scripts such as Trojan horses, SQL injections, worms, time bombs, corrupted files, cancelbots or other computer programming routines that are intended to damage, maliciously interfere with, surreptitiously intercept or expropriate any system, data or personal information (h) will not in any way claim or imply that you are employed or directly engaged by or affiliated with Helpicon or otherwise hold yourself out as acting as a representative or agent of Helpicon; and (i) will not create liability for Helpicon or cause Helpicon to lose (in whole or in part) the services of its Internet Service Providers (ISPs) or other partners or suppliers:s) or other partners or suppliers.

The Helpicon Platform hosts user-generated content related to reviews and ratings of specific users or helpers (“Feedback”). Feedback is the opinion of such user and not the opinion of Helpicon, and has not been verified or endorsed by Helpicon. You agree that Helpicon is not responsible for any Feedback or other user-generated content. Helpicon encourages each User to provide objective, constructive and honest feedback about the other Users with whom they have had transactions. Helpicon is not obligated to examine comments posted by users to ensure accuracy or reliability, or to consider statements or materials posted or submitted by users regarding feedback, but may do so in its sole discretion. You agree that feedback allows users to post and for other users to read about users’ expressions of their experiences, and that you will not complain or take any action simply because you disagree with such feedback. You may request removal of a review that violates this Agreement or Helpicon’s “Ratings and Reviews Policy” by contacting the Support Team at dso@helpicon.se. Each help recipient should do their own research before booking to be sure that a specific helper has the right qualifications for a task.

Helpicon respects the personal and other rights of others and expects Users to do the same. Helpicon has the right to identify a User to other Users or third parties who claim that their rights have been violated by User-Generated Content submitted by that User, so that they may attempt to resolve the complaint directly.

If a User believes in good faith that User-Generated Content provided on or in connection with the Helpicon Platform is offensive or violates any of its rights or the rights of others (e.g., defamation, libel, invasion of privacy), the User is encouraged to notify Helpicon. If a User discovers that User-Generated Content promotes crimes against humanity, incites hatred and/or violence, or relates to pornography or child pornography, the User must notify Helpicon. Such notification can be made at Helpicon, dso@helpicon.com

The Helpicon Platform may contain links (such as hyperlinks) to third party websites. Such links do not constitute an endorsement by Helpicon or any association with those websites, their content or their operators. Such links (including, but not limited to, external websites designed by the Helpicon Platform as well as any advertising displayed in connection therewith) are provided as an information service, for reference and convenience only. Helpicon does not control any such websites and is not responsible for their availability, accuracy, content, advertising, products or services. It is your responsibility to evaluate the content and usefulness of the information obtained from other websites. You acknowledge and agree that Helpicon is not involved in the creation or development of any third-party websites and disclaims any responsibility for third-party websites, and cannot be held liable for any claims arising out of or in connection with third-party websites. Further, you acknowledge and agree that Helpicon has no obligation to monitor, review or remove links to Third Party Sites, but reserves the right to restrict or remove links to Third Party Sites on the Helpicon Platform in its sole discretion. The use of websites controlled, owned or operated by third parties is governed by the terms of use and privacy policy of that website. You access such third-party websites at your own risk. Helpicon expressly disclaims any and all liability arising from your use and/or viewing of any websites or other materials associated with links that may appear on the Helpicon Platform. You hereby agree to indemnify and hold Helpicon harmless from any and all liability arising from the use of any links that may appear on the Helpicon Platform.

Helpicon operates as an online marketplace that connects recipients of help with service providers (Helpers) who want to perform a variety of tasks. Helpicon does not perform tasks and does not hire people to perform tasks. Helpers work as freelancers/self-employed/self-employed workers or as independent entrepreneurs and are usually engaged in an independent established business of the same kind as that carried out for Help Recipients via the Helpicon platform. Helpicon does not control or direct the performance of the services by the beneficiaries or determine their workplaces, working hours or working conditions. Helpers provide services under their own name or company name, and not under the name of Helpicon. Helpers provide their own tools and supplies to perform their services; Helpicon does not provide the tools or supplies. Helpers are free to maintain a data provider without any restrictions from Helpicon and are free to offer and provide their services elsewhere, including through competing platforms. Helpers are free to accept or reject help recipients and contracts. Helpers are not penalized for rejecting help recipients or contracts, but if helpers accept a help recipient or contract through the Helpicon platform, they are expected to fulfil their contractual obligations towards their help recipient. Helpers set their own prices for services performed on the Helpicon general market, without any deduction on the part of Helpicon.

The Helpicon Platform is not a staffing service or company and Helpicon is not an employer of any User. Helpers acknowledge that they are responsible for exercising their own business judgment in entering into service contracts and performing tasks and that, depending on how they exercise such business judgment, there is a risk of individual gain or loss.

The Helpicon Happiness Pledge applicable to the country where the Task is performed is part of this Agreement and is incorporated by reference. Helpers determine which categories they are qualified to perform tasks in and determine the scope of the Task directly with their Helper. Helpicon does not supervise, monitor or control how a Helper performs a Task, does not monitor Tasks or chat threads between Users, and does not otherwise take responsibility for the actions of Users. Helpers are advised to confirm with their Helper that she/he is qualified to perform the Task before the Task takes place. Helpicon is not responsible for the acts or omissions of Users, nor does Helpicon provide insurance against any losses incurred by Users. That said, Helpicon wants Users to be happy with their experience of using the Helpicon Platform and the Happiness Pledge exists to encourage continued use of the Helpicon Platform.

All text, graphics, editorial content, data, formatting, graphs, design, HTML, look and feel, photographs, music, sounds, images, software, videos, fonts and other content, including Helpicon’s designs, trademarks and logos (collectively, “Proprietary Materials”) that Users view or read through the Helpicon Platform are owned by Helpicon, excluding User-Generated Content, which Users hereby grant Helpicon a license to use as set forth above in Article 10. Proprietary material is protected in all forms, media and technologies now known or hereafter developed. Helpicon owns all Proprietary Materials, as well as the coordination, selection, arrangement and enhancement of such Proprietary Materials. The Proprietary Material is protected by national and international laws governing copyright, patent and other proprietary rights. Users may not copy, download, use, transform, reconfigure or redistribute anything from the Helpicon Platform without Helpicon’s express prior written consent and, where applicable, the consent of the owner of the rights to the User-Generated Content. Any use of such proprietary material beyond that permitted herein is expressly prohibited.

Helpicon service marks and trademarks, including but not limited to Helpicon, Helpicon for Good and associated logos, are service marks owned by Helpicon. All other trademarks, service marks, logos and/or trade names displayed through the Helpicon Platform are the property of their respective owners. Helpicon’s proprietary trademarks and logos are not available for use by Helpee or Helpers. You may not copy or use any of these trademarks, logos or trade names without the express written consent of the owner.

Helpicon respects the intellectual property rights of others and expects users to do the same. If you believe in good faith that material provided on or in connection with the Helpicon Platform infringes your copyright or other intellectual property rights, please send the following information to Helpicon’s Copyright Agent at Helpicon, dso@helpicon.se:

A description of the copyrighted work that you claim has been infringed, including the URL (Internet address) or other specific location on the Helpicon Platform where the material you claim is infringing appears. Include enough information for Helpicon to locate the material and explain why you believe infringement has occurred;

A description of the location of the original or authorized copy of the copyrighted work – for example, the URL (internet address) where it is published or the name of the book in which it has been published;

Your name, address, telephone number, and email address;
A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
A statement by you, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf; and
Your electronic or physical signature as the copyright owner or the person authorized to act on the copyright owner’s behalf.

You acknowledge that Confidential Information (as defined below) is a valuable, special and unique asset of Helpicon and agree that you will not, for the life of your account on Helpicon plus 10 years thereafter, disclose, transfer or use (or attempt to induce others to disclose, transfer or use) any Confidential Information for any purpose other than use of the Helpicon Platform in accordance with these Terms of Use. If relevant, you may disclose the Confidential Information to your authorized employees and agents, provided that they are also bound to maintain the confidentiality of the Confidential Information. You shall use your best efforts to protect Confidential Information from unauthorized disclosure, transfer or use. You shall promptly notify Helpicon in writing of any circumstances that may constitute unauthorized disclosure, transfer or use of Confidential Information. You shall return all originals and any copies of all materials containing Confidential Information to Helpicon immediately upon deactivation of your User Account or termination of this Agreement for any reason.

The term “Confidential Information” shall mean all of Helpicon’s trade secrets, confidential and proprietary information, and all other information and data belonging to Helpicon that is not generally known to the public or other third parties who could derive economic or other value from its use or disclosure. Confidential Information shall be deemed to include technical data, know-how, research, product plans, products, services, customers, markets, software, developments, inventions, processes, formulas, technology, designs, drawings, engineering, hardware configuration information, marketing, financial, strategic and other proprietary materials and confidential information relating to Helpicon or Helpicon’s business, operations or property, including information about Helpicon’s personnel, users or partners, or other business information disclosed or obtained directly or indirectly in writing, orally or through drawings or observations.

A. Use of the Helpicon Platform is entirely at your own risk
THE HELPICON PLATFORM TECHNOLOGY IS PROVIDED AS IS WITHOUT WARRANTY OR CONDITION OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, GOOD AND WORKMANLIKE PERFORMANCE AND NON-INFRINGEMENT. HELPICON MAKES NO WARRANTIES OR REPRESENTATIONS AS TO THE ACCURACY OR COMPLETENESS OF THE CONTENT PROVIDED THROUGH THE HELPICON PLATFORM OR THE CONTENT OF ANY WEB PLATFORM LINKED TO THE HELPICON PLATFORM AND ASSUMES NO LIABILITY IN CONTRACT, WARRANTY OR TORT FOR (I) ERRORS MISTAKES OR INACCURACIES IN THE CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY KIND, ARISING OUT OF YOUR ACCESS TO AND USE OF THE HELPICON PLATFORM, (III) ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN AND (IV) EVENTS BEYOND OUR REASONABLE CONTROL. Helpicon does not guarantee, endorse, warrant or assume responsibility for any service advertised or offered by a third party through the Helpicon Platform or any hyperlinked website or displayed in any banner or other advertising, and Helpicon will not be a party to or in any way responsible for any transaction between you and other users, or you and third-party providers of products or services. As with the purchase of any product or service through any medium or in any environment, you should use your best judgment and exercise caution where appropriate. Without limiting the foregoing, Helpicon and Affiliates do not warrant that access to the Helpicon Platform will be uninterrupted or that the Helpicon Platform will be error-free; nor do they make any warranty as to the results that may be obtained from the use of the Helpicon Platform, or as to the timeliness, accuracy, reliability, completeness or content of any data, service, information or materials provided through or in connection with the use of the Helpicon Platform. Helpicon and Affiliates are not responsible for the conduct of any User, whether online or offline. Helpicon and Affiliates do not warrant that the Helpicon Platform is free of computer viruses, system bugs, worms, Trojan horses or other harmful components or malfunctions, including in the case of hyperlinks to or from third party websites. Helpicon and affiliates will implement appropriate technical and organizational measures to ensure a level of security appropriate to the risk of any personal information you provide.

Regardless of any features or services that a Recipient may use to expedite the selection of a Recipient, each Recipient is responsible for determining the task and selecting or otherwise approving its Recipient, and Helpicon does not warrant any goods or services purchased by a Recipient and does not endorse any specific Recipient. Helpicon makes no warranties or representations as to the ability, professional accreditation, registration, or licensure of any Auxiliary Recipient.

B. No Liability
You acknowledge and agree that Helpicon is only willing to provide the Helpicon Platform if you agree to certain limitations on our liability to you and third parties. Accordingly, you agree not to hold Helpicon and affiliates, or their corporate partners, liable for any claims, demands, damages, expenses, losses, governmental liabilities, suits and/or controversies of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, direct, indirect, incidental, actual, consequential, economic, special or exemplary, including attorneys’ fees and costs (collectively, “Liabilities”) that have arisen or may arise related to your or any other party’s use of or inability to use the Helpicon Platform, including but not limited to any Liabilities arising in connection with any user’s behavior, act or omission (including but not limited to stalking, harassment of a sexual or other nature, physical violence and destruction of personal property), any dispute with any user, any instruction, advice, act or service provided by Helpicon and affiliates, and any destruction of your user-generated content.

IN NO EVENT SHALL HELPICON AND AFFILIATES OR THEIR BUSINESS PARTNERS BE LIABLE FOR, AND YOU HEREBY RELEASE HELPICON AND AFFILIATES AND THEIR BUSINESS PARTNERS FROM, ANY DIRECT, INDIRECT, INCIDENTAL, ACTUAL, CONSEQUENTIAL, ECONOMIC, SPECIAL OR EXEMPLARY DAMAGES (INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOSS OF DATA, LOSS OF GOODWILL, INTERRUPTION OF SERVICES, COMPUTER DAMAGES, SYSTEM FAILURE, FAILURE TO STORE INFORMATION OR OTHER CONTENT MAINTAINED OR TRANSMITTED BY HELPICON, THE COST OF SUBSTITUTE PRODUCTS OR SERVICES, OR ATTORNEYS’ FEES AND COSTS) ARISING OUT OF OR IN ANY WAY CONNECTED WITH YOUR USE OF OR INABILITY TO USE THE HELPICON PLATFORM OR TASK SERVICES, EVEN IF YOU HAVE BEEN ADVISED OF THE POSSIBILITY OF THE SAME.



HELPICON AND PARTNERS EXPRESSLY DISCLAIM ANY LIABILITY THAT MAY ARISE BETWEEN USERS OF ITS HELPICON PLATFORM. HELPICON AND PARTNERS DO NOT TAKE ANY RESPONSIBILITY FOR THE QUALITY OR SUITABILITY OF ANY WORK PERFORMED THROUGH THE HELPICON PLATFORM.

IF, SUBJECT TO THE FOREGOING EXCEPTIONS, IT IS DETERMINED THAT HELPICON AND ITS AFFILIATES OR THEIR BUSINESS PARTNERS ARE LIABLE FOR DAMAGES, THE AGGREGATE LIABILITY, WHETHER ARISING IN CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, SHALL EXCEED THE TOTAL FEES PAID BY YOU TO HELPICON (IF YOU ARE A RECIPIENT) OR THE TOTAL STATEMENT PAYMENTS MADE TO YOU BY THE RECIPIENTS (IF YOU ARE A RECIPIENT), IN THE 6 MONTHS PRIOR TO THE DATE SUCH CLAIM AROSE, TO THE EXTENT PERMITTED BY APPLICABLE LAW.

You hereby agree to indemnify, defend and hold harmless Helpicon and its affiliates from and against all liabilities arising in connection with (i) your use or inability to use, or your participation on, the Helpicon Platform; (ii) your participation in Tasks, or your ability or inability to perform or obtain the performance of Tasks or to receive payment therefore; (iii) your breach or violation of this Agreement (iv) your violation of any law, or the rights of any User or third party; (v) your failure to comply with your representations and warranties in Section 2; (vi) any Content submitted by you or using your account to the Helpicon Platform, including but not limited to to the extent such Content may infringe a third party’s intellectual property rights or otherwise be unlawful; and (vii) if you are a Recipient, the acts or omissions of the Recipient’s Agent. Helpicon reserves the right, at its sole discretion, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. Under no circumstances will you settle any claim or matter without the prior written consent of Helpicon.

In order to expedite the resolution and reduce the costs of any dispute, controversy or claim related to, arising out of or concerning your use of the Helpicon Platform, your relationship with Helpicon, Data or this Agreement (including prior versions) (“Dispute”), you agree to handle and resolve any Dispute entirely on your own regardless of whether you are a Helpicon or Helpicon’s agent. Helpicon makes no warranty as to any Dispute and therefore has no liability to either party.

If the helper and the helper do not agree on a dispute concerning the performance of the task(s) or the payment of the task(s) and Helpicon is notified of such dispute, Helpicon will refund the payment received by Helpicon from the helper to the helper after deduction of Helpicon’s fees. Helpicon is entitled to retain Helpicon’s service fee notwithstanding the dispute between the Helper and the Helper, and the parties shall handle the dispute without interference from Helpicon.

The following applies to all apps accessed via or downloaded from the Apple App Store (an “App Store-based application”):

You acknowledge and agree that (i) this Agreement is solely between you and Helpicon, and that Apple is not a party to this Agreement other than as a third-party beneficiary hereunder, and (ii) Helpicon, not Apple, is solely responsible for the App Store-based Application and its content. Your use of the App Store-based Application must comply with the App Store Terms of Use.

You acknowledge that Apple has no obligation whatsoever to provide maintenance and support services with respect to the App Store-based Application.

In the event that the App Store-based Application fails to conform to any applicable warranties, you may notify Apple, and Apple will refund the purchase price of the App Store-based Application to you and, to the extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App Store-based Application. As between Helpicon and Apple, all other claims, losses, liabilities, damages, costs or expenses attributable to the failure to honor any warranty shall be the sole responsibility of Helpicon, subject to the warranty limitations and exclusions set forth in this Agreement.

You and Helpicon acknowledge that, as between Helpicon and Apple, Apple is not responsible for addressing any claims you may have or claims by third parties relating to the App Store Application or your possession and use of the App Store Application, including, but not limited to: (i) product liability claims; (ii) any claims that the App Store Application fails to comply with applicable legal or regulatory requirements; and (iii) claims arising under consumer protection or similar legislation.

You and Helpicon acknowledge that, in the event of a claim by a third party that the App Store Application or your possession and use of the App Store-based Application infringes that third party’s intellectual property rights, Helpicon (and not Apple) will, as between Helpicon and Apple, be solely responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claim, but only to the extent required by this Agreement.

You and Helpicon acknowledge and agree that Apple and Apple’s affiliates are third-party beneficiaries of this Agreement with respect to your license to the App Store-based Application, and that Apple, upon your acceptance of the terms of this Agreement, has the right (and will be deemed to have accepted the right) to enforce this Agreement with respect to your license to the App Store-based Application against you as a third-party beneficiary thereof.

Without limiting any other terms of this Agreement, you must comply with all applicable third-party terms of this Agreement when using the App Store-based Application.

No agency, partnership, joint venture, employer-employee or franchisor-franchisee relationship is intended or created by this Agreement.

The failure of Helpicon to enforce any provision(s) of this Agreement shall not be construed as a waiver of any provision or right. This Agreement constitutes the entire and exclusive agreement between you and Helpicon with respect to its subject matter and supersedes and governs any prior agreements or communications, except as provided in the arbitration agreement in Section 28A. However, this Agreement does not supersede any other agreements regarding other content that you may have with Helpicon. The provisions of this Agreement are intended to be interpreted in a manner that makes them valid, legal and enforceable. If any provision is found to be invalid, illegal or unenforceable in whole or in part, (1) such provision shall be modified or restructured to the extent and in the manner necessary to make it valid, legal and enforceable, or (2) if such provision cannot be so modified or restructured, it shall be severed from the Agreement without affecting the validity, legality or enforceability of any of the remaining provisions. You hereby acknowledge and agree that we may assign or transfer this Agreement without your consent, including but not limited to assignments: (i) to a parent or subsidiary; (ii) to an acquirer of assets; or (iii) to any other successor or assignee. Upon the Assignment Effective Date (a) Helpicon shall be released from all rights, obligations and/or liabilities to you arising in respect of events after the Assignment Effective Date and (b) the Assigning Entity shall indemnify Helpicon for the performance of this Agreement. This Agreement may not be assigned or transferred by you without our prior written consent. Any assignment in violation of this Section 22 shall be void. This Agreement shall be insured for the benefit of Helpicon, its successors and assigns. Any part of this Agreement that by its nature should survive the expiration or termination of this Agreement shall survive the expiration or termination of this Agreement or your use of the Helpicon Platform.

Helpers are solely responsible for identifying and obtaining any necessary licenses, permits or registrations before offering services and performing tasks. Some types of tasks and services may be prohibited altogether, and it is the responsibility of helpers to avoid such prohibited tasks and services. Penalties may include fines or other law enforcement action. If you have questions about how national/state/provincial/territorial and local laws apply to your tasks and services on the Helpicon platform, you should first seek appropriate legal guidance.

Since Helpicon does not supervise, cover, direct, control or monitor a helper’s work or performance of tasks, helpers must determine for themselves whether a helper has the skills and qualifications required to perform the specific task. Helpers may wish to consult their national/state/provincial/territorial or local requirements to determine whether certain tasks must be performed by a licensed or otherwise registered professional. Helpers may also wish to discuss with their helper any specific hazards, obstacles or barriers at the task site (both visible and hidden) that may affect the performance of the task.

Helpicon reserves the right, in its sole discretion, to change, modify, add, supplement, suspend, discontinue or remove the terms of this Agreement (including the Terms of Use, Privacy Policy and Happiness Pledge) and to review, improve, modify or discontinue, temporarily or permanently, the Helpicon Platform or any content or information through the Helpicon Platform at any time, with or without notice and without any liability to Helpicon. Helpicon may also impose limits on certain features or restrict your access to parts or all of the Helpicon Platform without notice or liability.

Helpicon will endeavor to notify you of material changes to this Agreement by email, but will not be liable for any failure to do so. If any future changes to this Agreement are unacceptable to you or cause you to no longer comply with this Agreement, you must deactivate your account and immediately stop using the Helpicon Platform. Your continued use of the Helpicon Platform following any revision to this Agreement constitutes your full and irrevocable acceptance of all such changes, except where prohibited by laws or regulations in your jurisdiction.

The provisions of this Agreement are for the sole benefit of the parties and their permitted successors and assigns, and shall not be construed to confer any rights on any third party (including rights as a third party beneficiary, except as provided in Section 20) or to confer on any person or entity other than the User any right, remedy, claim, liability, indemnity, cause of action or any other cause of action with respect to or in connection with any Agreement or any provision contained herein or contemplated herein. None of the terms of this Agreement are enforceable by any person who is not a party to this Agreement, provided, however, that an assignee’s agent may act in the name of and on behalf of its assignee.

You agree to receive all agreements, notices, disclosures and other communications (collectively, “Notices”) referred to in this Agreement electronically, including but not limited to by email or by posting notices on the Sites. You agree that all notices we provide to you electronically satisfy any legal requirement that such communications be in writing. Unless otherwise specified in this Agreement, all notices under this Agreement shall be in writing and shall be deemed to have been duly given when received, if delivered personally or sent by registered mail, return receipt requested; when receipt is confirmed electronically, if sent by fax or email; or on the date it is shown as delivered according to the overnight delivery tracking information, if sent for next-day delivery by a recognized overnight delivery service.

By using the Helpicon Platform, you agree to conduct electronic transactions through the Helpicon Platform. You also agree to the following: (i) your electronic signature is the legal equivalent of your manual signature and has the same legal effect, validity and enforceability as a paper-based signature; (ii) your use of a keyboard, mouse or other device to select an item, button, icon or similar action/measure constitutes your signature as if it were actually signed by you in writing and (iii) no certification authority or other third party verification is necessary to validate your electronic signature, and the absence of such certification or third party verification will in no way affect the enforceability of your electronic signature.

A. Users of Helpicon, Helpee and Helpers.
I. Telephone Communications and Agreement to be Contacted
By providing your mobile phone number and using the Helpicon Platform, you hereby consent to the use of your mobile phone number for calls and recurring text messages (including by auto-dialer and/or pre-recorded voice) by Helpicon and affiliates or from independent contractors (including Helpers) to (a) perform and improve the Helpicon Platform, (b) facilitate the performance of tasks through the Helpicon Platform, and (c) provide you with information and reminders regarding your registration, onboarding, upcoming tasks, product changes, modifications and updates, service interruptions or changes. These calls and texts may include, among other things, reminders of pending or upcoming tasks and/or as follow-up to push notifications delivered via our mobile application. The frequency of messages varies. Operators are not responsible for delayed or undelivered messages. Helpicon will not charge any fees for calls or text messages, but standard messaging, data or other charges from your mobile operator may apply. You can opt out of receiving text messages from Helpicon by changing your account settings on the Websites or in the Apps, texting “STOP” in response to any text messages, or by sending an email indicating that you want to opt out of text messages. You can opt out of receiving calls from Helpicon by indicating that you no longer wish to receive calls during conversations with us, or by emailing dso@helpicon.se and indicating that you wish to opt out of calls. You understand that we may send you a text message confirming your choice to opt out.

II. Employee classification and withholding tax

Helpicon does not employ assistants. Helpicon is not responsible for and will not be liable for any tax payment or withholding, including but not limited to any applicable VAT, employer’s liability, social security contribution or other payroll withholding tax in connection with a User’s use of the Helpicon Platform. The Helper assumes full and sole responsibility for all mandatory and applicable income tax and social security contributions for the Helper and all persons engaged by the Helper for the performance of the Assignment Services. Each User assumes all responsibility for the proper classification of such User’s employees based on applicable legal guidelines.

III. Media and user-generated content

To the extent permitted by law, you hereby grant to Helpicon, for the duration of the Intellectual Property Rights, including any legal extensions thereof, a non-exclusive, worldwide, irrevocable, royalty-free, fully paid-up, unlimited, sublicensable (through multiple tiers), transferable right to exercise all copyright, publicity rights and all other rights you have in (1) your User-Generated Content and (2) Content, such as videotape, film, recording, photograph, voice, or instrumental, musical, or other sound effects that you provide to Helpicon (collectively, the “Media”) in exchange for use of the Helpicon Platform, in any and all media now known or not known to you for the purpose of promoting, operating, and improving the Helpicon Platform, including but not limited to the right to the following, to the extent permitted by law in the country where the task is performed:

Use, display, copy, adapt, modify, distribute, license, transmit, publicly perform, publicly display, transmit, stream, broadcast, access, display and otherwise exploit such media or user-generated content, in any format and through any distribution channel;

Display, distribute, show, transmit and broadcast on any media (including, but not limited to, the internet), any media or user-generated content (or parts thereof) in any format and through any distribution channel;

Use and authorize the use of such user’s media or user-generated content in the advertising, promotion and/or publication of the Helpicon Platform in any media, in any format and through any distribution channel; and

Use and authorize the use of such user’s name and identity in connection with the Helpicon Platform or any Helpicon promotions.

 

Each User warrants and represents that they have the legal authority to grant the rights set forth above, and that such rights do not adversely affect the rights of any third party.

Each User acknowledges that Helpicon owes no financial or other compensation for the use of the Media provided herein by such User, whether for initial or subsequent transmission or playback.

IV. Judicial review

Users in Sweden have the right to file a claim related to this Agreement in a Swedish court at any time and do not need to notify Helpicon of any disputes before filing such claims.

V. Amendments to this Agreement

Notwithstanding anything to the contrary in Section 24 above, Helpicon will notify you of material changes to this Agreement by email within a reasonable time. Amendments shall be deemed accepted if the User does not terminate this Agreement in accordance with Section 8 within a reasonable time after notification of the amendments.

VI. Guarantees and liability

Notwithstanding anything to the contrary in Section 17 above, Helpicon will only be liable for breach caused by willful misconduct or gross negligence in relation to its material contractual obligations. In case of initial impossibility, Helpicon can only be liable if Helpicon was aware of the impediment to performance before entering into this agreement, was unwilling due to gross negligence to remedy the impediment, and a material obligation has been breached as a result of this initial impossibility.

VII. Invoicing obligations for auxiliaries

As a helper providing services in Sweden, you may have an obligation under the Commercial Code and the Tax Code to issue invoices or receipts to your helpers. Any invoices or receipts must meet specific requirements. Helpicon is not responsible for issuing these invoices or receipts on your behalf. By accepting these Terms of Use, you acknowledge that Helpicon will not issue invoices or receipts on your behalf.

An intermediary providing services in Sweden may be obliged to issue invoices to his/her intermediaries. The Assistant shall always be responsible and fully liable for (i) its invoicing obligations, in particular with regard to the content of the invoice and its mandatory details and (ii) the VAT consequences resulting therefrom. More generally, the Provider shall be responsible for submitting its VAT returns and paying VAT in respect of the tasks performed by the Provider for its benefit.

Helpicon shall not be liable for any breach of the Helper’s tax obligations, provided that Helpicon shall not be held jointly and severally liable for VAT, interest on VAT due or for any fines or penalties owed by the Helper.

 

VIII. Applicable law and jurisdiction

If you are a consumer resident in Sweden, this Agreement and your use of the Helpicon Platform shall be governed by the laws of the Federal Republic of Sweden, without regard to conflict of law principles.
